How to Register Corporation Business with BIR.
Steps in Registering your Corporation business in the Bureau of Internal Revenue.
Before any Corporation can start operating a business, the said Corporation business should be registered in the Bureau of Internal Revenue. Business owner must ensure that the corporation should be fully complaint with the corporate laws and regulation to avoid unwanted issues in the near future. Registering with the Bureau of Internal Revenue is the last step to be done, and then you will be allowed to operate legally in the Philippines.
Here’s the Steps in Registering your Corporation business in the Bureau of Internal Revenue.
1. Accomplish BIR Form 1903 ( Application for Registration for Corporations, Partnerships (Taxable / Non-Taxable), -Including GAIs, LGUs, Cooperatives and Associations)
- Part I – Taxpayer Information
- Part II – Authorized Representative
- Part III – Business Information – – refers to your company trade name, Business Registration Number , Date Registered. (source SEC Registration Papers )
- Part IV – Facility Details – refers to your company’s address
- Part V – Tax Type – This portion will be filled up the BIR
- Part VI – Authority to Print – Refers to the registration information of the accredited BIR printers that will print your desired receipts
- Part VII – Stockholder/Partner/Member – Refers to the Articles Incorporation.
- Part IX – Payment Details.
2. Accomplish BIR Form 0605 – (The payment form for your Annual Registration Fee)
3. Accomplish BIR Form 2000
- Documentary Stamp Tax Declaration for your Lease contract and
- Documentary Stamp Tax Declaration on the Original issued shares of Stocks of the Corporation
4. Submit the accomplished BIR Form 1903, 0605, 2000 together with the following required supporting documents to the RDO of your business location:
- Photocopy of SEC Certificate of Incorporation; or Photocopy of Certificate of Recording (in case of partnership);
- Articles of Incorporation and By Laws; or Articles of Partnerships;
- Barangay Business Clearance
- Mayor’s Business Permit
- Certificate of Lease (if the place is rented) or Certificate of Land Title (if owned)
- Government-issued identification (Passport, Driver’s License, Birth Certificate, etc.),
- Special Power of Attorney for the authorized agent.
- Books of Account
- General Ledger
- General Journal
- Cash Receipts Book
- Cash disbursement Book
5. BIR will then check you application and if everything is in order, BIR will then advised you to pay the following;
- Pay the Registration Fee of ₱500 (BIR Form 0605)
- Pay the Documentary Stamp Tax Declaration ( Bir Form 2000) for the Contract of Lease
- Pay the Documentary Stamp Tax Declaration ( Bir Form 2000) for the Original shares of Stock Issued
6. After payment submit the proof of payment to the BIR office.
7. Once the BIR received proof of payment for the registration, your application for registration in now complete. The BIR will then release the following.
- Certificate of Registration (BIR Form 2303) – reflect
- Notice to Issue Receipt/ Invoice ( Replacement for the Ask for Receipt)
- Authority to Print (BIR Form 1921)
Steps from 1 to 7 can be done in just one day so be sure that you have properly accomplish the forms and your attachment is complete.
8. Submit your approved Authority to Print to your desired printer with a Final and clear sample of principal and Supplementary Commercial Receipts and Invoices. The Authorized printer will now print and registered your official Receipt with the BIR. and after two weeks you will then receive your Registered Commercial Receipts and Invoices.
9. Once you received your Registered Commercial Receipts and Invoices you are now ready to start your business
REMINDER:
Your Certificate of Registration (BIR from 2303) enumerates all the tax Type that your company needs to report to the BIR. Check your Companies Tax Type, and its filing due date and don’t forget to pay/ report it or submit it to the BIR to avoid open cases that will be charged to your company.
